Corporate & Business Law

Our corporate and business law attorneys represent business entities of all types and sizes, from large corporations to sole proprietorships, including partnerships and limited liability companies. We advise business owners at all stages of the life of a business, from putting together a business plan and drafting organizational documents to reorganizations, termination and liquidation.

General Corporate Matters

Our attorneys work closely with business owners and management in order to understand each client’s business objectives, operations, and industry. We frequently serve as general counsel for our clients, advise boards of directors and shareholders on governing the business, and assist the client in identifying specialized legal requirements of proposed business plans and strategies.

Mergers and Acquisitions

Our attorneys assist clients in purchasing or selling businesses, often recommending tax-favored transactions for achieving client goals. We also handle a wide variety of commercial transactions, including equipment purchase and sales, project financing, licensing, and marketing arrangements.

We assist clients in forming all types of business entities, including corporations, limited partnerships, limited liability companies, and joint ventures.

We enhance the value of our corporate and business advice through tax planning, which allows clients to engage in a transaction while being subject to the lowest tax burden possible. Our attorneys frequently provide transactional tax advice for clients engaged in mergers and acquisitions and in the sale, purchase or exchange of real estate. We also work with business owners to develop strategies for business succession and estate planning.

Employment Matters

Our business clients often need advice regarding employment and compensation issues. We provide advice regarding employment agreements, non-compete covenants, compensation arrangements, and employment policies.

Estate Planning

Our estate planning attorneys provide personalized and comprehensive estate planning services for individuals and their families. We listen first for our clients’ needs and wishes and then work with our clients to formulate and implement an appropriate plan for the preservation and disposition of family assets. We offer highly personalized and sophisticated estate planning and wealth transfer services to accommodate the needs of our clients, from estate plans for those engagements where estate taxes are not a major concern, to specialized engagements for larger estates involving sophisticated estate planning techniques designed to reduce transfer taxes, protect assets, and preserve family wealth. We consult with the individual with respect to particular family needs and objectives and we offer advice on estate planning techniques designed to avoid the probate process. We offer expertise in planning for individuals who are interested in charitable giving and our work is highly customized to the specific needs of the individual and his or her family.

As part of our estate planning practice, we prepare wills and various types of trust agreements, and, where appropriate, organize business entities (such as a family limited partnership). We also prepare health care power of attorney and durable power of attorney instruments. We assist individuals with transferring assets to accomplish estate planning objectives. We also assist individuals with preparing appropriate beneficiary designation forms for distributions from non-probate assets such as life insurance and retirement plan accounts.

Probate and Trust Administration

The loss of a loved one can be one of the most difficult times in life.  Our compassionate and experienced attorneys can assist you through the entire probate and trust administration process in order to ensure that the wishes of your loved one are properly carried out.

Probate is a court supervised process of administering a decedent’s estate after death.  Our attorneys can assist you with the process of probate, from opening the estate administration with the court through inventorying and distributing the decedent’s assets, preparing and filing necessary estate and income tax returns, and concluding the estate administration in the most efficient manner.

If a decedent has a revocable living trust in place at the time of death, the trust administration process takes the place of the probate proceeding.  Similar to probate, the trust administration process includes inventorying and distributing the trust’s assets, preparing and filing necessary estate and income tax returns, and concluding the trust administration in the most efficient manner.

Real Estate

Our real estate practice regularly includes traditional purchases, sales, leases and financing, and our attorneys are experienced in complex multi-asset transactions involving multiple jurisdictions.
